Aurania Announces Closing of Private Placement

Toronto, Ontario, March 30, 2022 – Aurania Resources Ltd. (TSXV: ARU) (OTCQB: AUIAF) (Frankfurt: 20Q) (“Aurania” or the “Company”) is pleased to announce that it has closed the second and final tranche (the “Final Tranche”) of its non-brokered private placement (the “Offering”) of up to 2,142,857 units of the Company (the “Units”) for gross proceeds of up to C$1,500,000, previously announced on February 28, 2022.
An aggregate of 410,000 Units were sold in the Final Tranche and 1,586,653 Units were sold under the first tranche (the “First Tranche”), in each case at a price of C$0.70 per Unit, for a total number of 1,996,653 Units for aggregate gross proceeds of C$1,397,657.10. Each Unit is comprised of one common share in the capital of the Company (each, a “Common Share”) and one Common Share purchase warrant (each, a “Warrant”). Each Warrant entitles the holder to purchase one Common Share at an exercise price of C$1.25 at any time for a period of 24 months following the date of issuance. There were no finders’ fees payable in connection with the Final Tranche.
The Common Shares and Warrants comprising the Units, and the Common Shares underlying the Warrants, are subject to a statutory hold period of four months and a day from the date of issuance and, as applicable, hold periods under United States securities laws.
The Offering remains subject to the final acceptance of the TSX Venture Exchange (the “TSXV”).
